Dear user of the INSTAR website and LMS platform: by using the INSTAR website (in-star.eu, in-star.com.ua and related domains), including purchasing educational services, submitting applications or registration forms, you confirm your full agreement with all conditions of this Public Offer. This constitutes a binding agreement between IN-STAR LLC and you. In case of disagreement with any terms, you must refrain from using INSTAR services.
1. Terms and definitions
- 1.1 Acceptance — full and unconditional acceptance of this Public Offer by using the INSTAR website, registering for an Event, or making a payment.
- 1.2 Website — the set of software and hardware under the domains in-star.eu, in-star.com.ua and instar.moodlecloud.com, providing access to information, services and events.
- 1.3 Access to Event — an email from INSTAR containing access details (URL, access code) for a specific Event.
- 1.4 Event / Course — thematic trainings, workshops, seminars, certification preparation programs, conferences, master classes, or online consultations organized by INSTAR.
- 1.5 Session — a single scheduled meeting within an Event or Course.
- 1.6 Application — the User's expression of intent to participate in a specific Event, submitted through the website.
- 1.7 User / Participant — a person who has accepted this Public Offer.
- 1.8 Account — authentication and personal data of the User stored on the website.
- 1.9 Personal Page — an internet page created for the User upon registration.
- 1.10 Personal data — reliable, complete information voluntarily provided by the User.
- 1.11 Payment System — payment organization (currently Way4Pay).
- 1.12 Consultant / Instructor — author of and/or person responsible for conducting an Event.
- 1.13 PDU — Professional Development Unit issued by INSTAR as a PMI Authorized Training Partner.
- 1.14 PMI ATP — INSTAR's status as a PMI Authorized Training Partner.
2. Subject and general conditions
2.1 This document is an official public offer containing all essential terms under which IN-STAR LLC provides services to Users.
2.2 INSTAR provides access to the website and Events; the User agrees to use INSTAR's services in accordance with this Offer.
2.3 Using the website is full and unconditional acceptance of this Offer.
2.4 INSTAR's website hosts Events, course information, and materials related to project management, AI-era management consulting, and PMI certification.
2.5 The schedule, number, duration, and cost of Events may be updated on the website in real time.
2.6 The User agrees that the terms of this Offer may be changed by INSTAR by posting the current version on the website.
3. Website usage
3.1 The User must read these terms before registering. Registration constitutes full acceptance.
3.2 By registering, the User permits INSTAR to process their personal data as described in Section 8.
3.3 The User may not transfer login and password to third parties and is fully responsible for their security.
3.4 If unauthorized access is discovered, the User must notify INSTAR immediately.
3.5 INSTAR never requests payment card PIN codes or passwords via the website or email. Any such request should be treated as fraudulent.
3.6 If the User loses authentication data, recovery may be requested via support@in-star.eu with full name and account login.
3.7 Activities and information materials are provided 'as is' and 'as available'. INSTAR does not warrant uninterrupted availability.
3.8 INSTAR does not guarantee specific exam results, employment outcomes, salary changes, or other results beyond delivery of the agreed service.
4. User rights and obligations
4.1 User rights
4.1.1 Use the website, obtain information about Events, and participate in Events upon registration and payment.
4.1.2 Receive PDUs and a certificate upon successful completion of an Event (where applicable).
4.1.3 Refuse participation under the conditions of Section 7.
4.1.4 EU consumers enjoy all applicable consumer rights under EU law in their country of residence, in addition to rights under Ukrainian law.
4.2 User obligations
4.2.1 Provide accurate and complete information during registration.
4.2.2 Not reproduce, copy, sell or use INSTAR course materials for any purpose other than personal professional development.
4.2.3 Maintain personal equipment and communication channels in good working order.
4.2.4 Pay the full cost of Event participation independently or through an authorized third party.
4.2.5 Refrain from prohibited actions including:
- (a) posting content that violates Ukrainian or international law, contains threats, obscene language, discrimination, or incitement to violence;
- (b) reproducing, distributing or selling Event materials for commercial purposes;
- (c) sharing account credentials or Event access links with third parties;
- (d) impersonating other persons or falsifying registration information;
- (e) uploading malware or any malicious code;
- (f) recording live sessions without INSTAR's explicit written permission;
- (g) sending spam or unauthorized promotional materials to other Users.
4.2.6 The User bears full responsibility for information posted or communicated through the website.
4.3 Rules of conduct in open training sessions
For each open program course or session, INSTAR defines and communicates basic rules of conduct to enrolled participants. These rules are designed to maintain a productive, respectful, and focused learning environment for all participants and instructors. By registering for an Event, the participant agrees to comply with all session conduct rules as communicated by INSTAR.
In case of a participant's violation of the session conduct rules, INSTAR has the following rights, exercised at INSTAR's sole discretion based on the nature and severity of the violation:
(a) Session-level removal. For less severe violations — such as persistent disruptive behavior, use of inappropriate or offensive language, repeated off-topic contributions, or disrespectful conduct toward other participants or the instructor — INSTAR may remove the participant from that specific session. The participant retains access to the remaining sessions of the course, unless further violations occur. Removal from a single session does not entitle the participant to a refund of any amount.
(b) Course-level removal. For severe violations — including but not limited to: sharing access credentials or session links with third parties, recording sessions without permission, systematic breach of conduct rules across multiple sessions, harassment of instructors or other participants, unauthorized distribution of course materials, or violations of INSTAR's intellectual property rights — INSTAR may remove the participant from the entire course with immediate effect. Course-level removal does not entitle the participant to a refund of any course fees paid, regardless of the stage of the course at which the removal occurs.
INSTAR will inform the participant of any removal action by email or direct communication during the session. INSTAR's determination of the severity classification and the appropriate response is final. Participants may appeal a course-level removal decision by submitting a written request to info@in-star.eu within 7 calendar days of removal.
5. INSTAR rights, obligations and responsibilities
5.1 INSTAR rights
5.1.1 Modify website software, temporarily suspend the website for maintenance, and prevent unauthorized access.
5.1.2 Use User personal information as provided in Section 8, in compliance with Ukrainian law.
5.1.3 Contact the User by email or telephone regarding their registration or Event participation.
5.1.4 Change the terms of this Public Offer unilaterally by posting changes on the website, effective no later than 3 working days after publication.
5.1.5 Assign rights and obligations to third parties, subject to the rights and interests of the User.
5.1.6 Block the User's account or restrict access in case of violation of this Offer.
5.1.7 Change the web interface, software, and technical requirements for Event participation.
5.2 INSTAR obligations and responsibilities
5.2.1 Inform the User of the status of their Application and successful payment by email.
5.2.2 Store and process User personal data with confidentiality in accordance with Section 8 and Ukrainian law.
5.2.3 INSTAR's liability is limited to the amount paid for the specific service in question. INSTAR is not liable for indirect damages, lost profits, or loss of business reputation.
5.2.4 Unless otherwise specified, INSTAR is not responsible for the conduct of Events organized by third parties.
6. Conditions for granting access to Events
6.1 Access to Events is conditional on the User completing an Application and making full payment.
6.2 Registration is free and voluntary.
6.3 The User receives login credentials by email upon successful registration.
6.4 INSTAR reserves the right to cancel participation without refund if the User violates the rules of conduct under Section 4.3, publishes prohibited content during the Event, or shares access credentials with third parties.
6.5 Access to Event materials is provided to one registered User only and may not be shared.
6.6 If the User does not receive access to an Event after successful payment, they must contact INSTAR support before the Event begins.
6.7 INSTAR reserves the right to cancel or postpone any Event.
6.8 Event content represents the views and expertise of the Consultant. INSTAR does not warrant the accuracy or completeness of all content presented.
6.9 The INSTAR website may contain links to third-party resources. INSTAR is not responsible for the availability or content of those resources.
7. Prices, payments and refunds
7.1 Event prices are stated on the relevant course page at the time the Application is opened, or communicated to the User by email.
7.2 Payment is made by 100% prepayment prior to the Event start.
7.3 Payment methods include bank card payment (via Way4Pay) and bank transfer (for corporate clients). Instalment payment options are available where indicated.
7.4 For non-resident (foreign) Users, payment is made in foreign currency per invoice. Bank fees charged by the User's bank are borne by the User.
7.5 INSTAR accepts Visa and Mastercard. The User authorizes the Payment System to debit the full Event cost at the time of payment.
7.6 The payment date is the date of receipt of funds in INSTAR's bank account.
7.7 Refund conditions:
- (a) If the User cancels participation with a valid reason, submitting a written request no later than the start of the second session: refund within 30 days, minus (i) actual costs incurred by INSTAR (payment-system fees, PMI materials, etc.) and (ii) the cost of the first session if it has already occurred.
- (b) If the User fails to participate and does not notify INSTAR with a valid reason before the second session begins: no refund.
- (c) If an Event is cancelled or postponed by INSTAR: full refund or credit toward another Event, at the User's choice.
- (d) If the User is removed from a session or course due to a conduct violation under Section 4.3: no refund, regardless of the stage of the course.
- (e) Gift certificates that are not used before their stated expiry date: no refund.
7.8 EU consumers have the right to withdraw from a distance contract within 14 days of purchase, provided course access has not been granted and the course has not commenced. Once LMS access has been provided or the first session has taken place, the right of withdrawal is forfeited. This provision applies to EU/EEA residents only and does not limit rights under Ukrainian law.
8. Personal data
8.1 INSTAR uses User personal data exclusively for: registration and account management; course delivery and PDU issuance; communication and customer support; statistical analysis; placing testimonials and feedback on INSTAR platforms (with User consent); sending marketing communications (with the right to opt out).
8.2 Processing includes collection, recording, storage, updating, use, transfer (where permitted), deletion, and destruction.
8.3 The User consents to processing by checking the consent box at registration, submitting a contact form, or using the website.
8.4 Personal data is stored until: account deletion upon written request; or withdrawal of consent; or destruction by INSTAR as required by law.
8.5 INSTAR may transfer personal data to third parties only where: (a) the third party ensures confidentiality; (b) required by law; or (c) required to fulfil the service (e.g., PMI, Credly, MoodleCloud).
8.6 Technical and organizational measures protect personal data. Full details in the Privacy Policy.
8.7 EU/EEA residents have additional rights under GDPR as described in the Privacy Policy.
9. Intellectual property
9.1 All website and Event content is the intellectual property of IN-STAR LLC or is used with the consent of rights holders (including PMI for PMI-developed materials). Protected under Ukrainian and international law.
9.2 The User is prohibited from distributing, reproducing, or using Event materials for commercial purposes without INSTAR's written consent.
9.3 Access to the website does not constitute a licence to use INSTAR's intellectual property. All rights not expressly granted are reserved by INSTAR.
9.4 PMI-developed content is used under PMI Authorized Training Partner licence and is subject to PMI's own intellectual property terms.
10. Force majeure
10.1 The Parties are released from liability if fulfillment is hindered by extraordinary and unavoidable circumstances, including hostilities, natural disasters, power or internet outages, or government restrictions. The term of obligations is postponed for the duration of such circumstances.
11. Claims and complaints
11.1 In case of non-performance, the affected party shall send a written claim to the other party.
11.2 User claims must be sent to info@in-star.eu. The consideration period is 15 calendar days from receipt, after which INSTAR will agree with the claim (fully or partially) or reject it with reasons.
12. Notices
12.1 From INSTAR to User: by email to the address provided during registration.
12.2 From User to INSTAR: by email to info@in-star.eu. Unsigned written appeals are not accepted for consideration.
13. Miscellaneous
13.1 This Agreement takes effect from the moment of acceptance and is valid until terminated by one of the parties.
13.2 This Agreement may be terminated by agreement of the parties at any time.
13.3 INSTAR has the right to terminate access unilaterally for violation of any terms of this Agreement.
13.4 By accepting this Offer, the User consents to receiving information about other INSTAR Events, which may be revoked at any time.
13.5 All issues not regulated by this Agreement are resolved in accordance with Ukrainian law. For EU consumers, mandatory EU consumer-protection rights apply in addition.
13.6 Disputes shall be resolved by negotiation; failing that, by the competent courts of Kyiv, Ukraine.
